We register the company (Incorporation), the most essential service for entrepreneurs who want to create companies in Sri Lanka. PRIVATE COMPANIES

A private company must consist of at least one and no more than fifty members. You must have at least one director. A private company cannot invite a public subscription for its actions.

PUBLIC ENTERPRISES

At least seven members are required to form a public company (there is no upper limit). You must have at least two directors. Public companies may invite public subscriptions for their shares or obligations and other securities, and may also be listed on the stock exchange. They cannot start business without a business start certificate.



OFFSHORE COMPANIES

A company registered inside or outside Sri Lanka can register in Sri Lanka as an offshore company to conduct any business off the coast of Sri Lanka. If a company registered outside Sri Lanka is registered as an offshore company, it is considered to have joined Sri Lanka. An offshore company cannot conduct business in Sri Lanka.

Subsidiaries

To establish a business in Sri Lanka foreign companies can be established as a local subsidiary. After incorporation, a subsidiary in Sri Lanka must comply with all legal requirements imposed on national companies.

Branches

A company incorporated outside Sri Lanka can establish a place of business in Sri Lanka by registering a branch in the Register of Companies. Registration requests must be made within the month following the establishment of a place of business in Sri Lanka. In general, the approval of the corresponding line ministry will be required before registration can be completed. The responsibility of a branch extends to its foreign assets.

LINK / REPRESENTATIVE OFFICES

A company incorporated outside Sri Lanka can maintain its presence in Sri Lanka through a representative office and has a similar status to that of a branch. However, it is prohibited to participate in any commercial or investment activity or accumulate any turnover in Sri Lanka. There are no tax incidents, since it is not allowed to trade. Therefore, the issue of permanent establishment is not relevant.


JOINT VENTURE

A joint venture may be with other Sri Lankan companies or foreign entities. A joint venture can be incorporated or carried out as an unincorporated company similar to that of a company. Joint ventures have become popular in recent years; particularly in export-oriented projects.
